Dentons acted as legal advisor to Enbridge in connection with Enbridge’s acquisition of a 49.9% stake in EnBW’s Hohe See offshore wind farm project in the German North Sea. The mandate related to the transaction documentation and legal support for Enbridge’s entry into the project alongside EnBW, which had taken the investment decision to proceed with construction of the 497MW wind farm located roughly 90km north of Borkum. The reported scope was legal advisory services for the “Hohe See deal”, supporting Enbridge’s investment into the project and the associated cooperation arrangements between Enbridge and EnBW during the construction phase, with EnBW set to operate the wind farm. The advisory work was therefore linked to the project’s ownership and financing structure rather than to any specific engineering package. The appointment was reported at the time EnBW committed to build Hohe See and announced Enbridge’s stake acquisition, placing Dentons’ role within the project’s late-development/financing close activities immediately prior to full construction execution.
